Terms of Service

The Short Version
We want you to understand what you're agreeing to, so here's the plain-language summary:
- •Your data is yours. We host it, you own it. You can export or delete it at any time.
- •We're in beta. Things may break or change. We'll do our best, but we can't guarantee perfection.
- •You bring your own OpenAI key. AI features use your API key. We encrypt it and only use it for your quote generation.
- •Payments go through Stripe. We never see or store your clients' credit card numbers.
- •You can cancel anytime. No long-term contracts, no cancellation fees.
1. What This Agreement Covers
These terms govern your use of WorkCentral ("the platform," "the service," "we," "us"), a web-based project management and invoicing platform operated by WorkCentral ("the company"). By creating an account, you agree to these terms.
WorkCentral is a tool for managing client quotes, projects, time tracking, expenses, and invoicing. It is not accounting software — it does not provide bookkeeping, tax preparation, bank reconciliation, or financial advisory services.
2. Your Account
To use WorkCentral, you need to create an account with a valid email address and password. You're responsible for keeping your login credentials secure and for all activity that happens under your account.
You must be at least 18 years old and legally able to form a binding agreement. If you're creating an account on behalf of a business, you confirm you have authority to bind that business to these terms.
Each account is tied to a single organization. On the Business plan, you can invite team members who will have access to your organization's data based on the permissions you assign them. You are responsible for managing who has access to your account and data.
3. Beta Software
WorkCentral is currently in public beta. That means:
- Features may change, be added, or be removed as we develop the platform
- You may encounter bugs or unexpected behavior
- We may need to perform maintenance that temporarily affects availability
- Your data is real and persistent — this is not a demo environment
We take your data seriously even during beta. We back up regularly and will give reasonable notice before any changes that could affect your workflow. We welcome your feedback — it directly shapes the product.
This section will be updated when WorkCentral exits beta.
4. Plans, Pricing, and Payments
WorkCentral offers Free, Professional, and Business plans. The current features and limits for each plan are described on our pricing page. We may update plan features and pricing over time, but we'll give you at least 30 days notice before any price increase affects your current subscription.
Beta pricing: Users who sign up during the beta period receive special pricing as described at the time of signup. We honor the pricing terms communicated to you when you subscribed.
Billing: Paid plans are billed monthly or annually through Stripe. Annual plans are billed as a single payment for the year. You can change or cancel your plan at any time from your account settings.
Cancellation: When you cancel a paid plan, you retain access to paid features through the end of your current billing period. After that, your account reverts to the Free plan. Your data is preserved — you don't lose anything by downgrading.
Refunds: We handle refund requests on a case-by-case basis. If you're unhappy within the first 30 days of a paid subscription, contact us and we'll make it right.
5. Payment Processing (Stripe Connect)
WorkCentral allows you to accept online payments from your clients through Stripe Connect. When you enable payment processing:
- You create a Stripe Connect Express account, which is governed by Stripe's Connected Account Agreement
- Your clients' payment information is handled entirely by Stripe — we never see, process, or store credit card numbers
- WorkCentral charges a platform fee on each transaction (1.5% on Free, 0.75% on Professional, 0.25% on Business) in addition to Stripe's standard processing fees
- Funds from client payments go to your Stripe account, not ours
You are responsible for complying with Stripe's terms and any applicable laws regarding payment processing, invoicing, and tax collection in your jurisdiction.
6. AI Features and OpenAI Integration
WorkCentral offers AI-powered features including quote generation, task breakdown, and description improvement. These features use the OpenAI API. Here's how it works:
- You provide your own OpenAI API key. We do not provide API access or charge for AI usage.
- Your API key is stored encrypted in our database and is only used to make requests on your behalf
- When you generate a quote with AI, the project description, budget, and requirements you enter are sent to OpenAI's API
- OpenAI's use of that data is governed by OpenAI's terms — we recommend reviewing their data usage policies
- AI-generated quotes are previews — nothing is saved until you choose to save it
- Any costs from OpenAI API usage are billed directly to you by OpenAI through your API key
7. Your Data
You own your data. Everything you create in WorkCentral — clients, quotes, projects, invoices, time entries, expenses — belongs to you. We do not claim any ownership or intellectual property rights over your content.
You grant us a limited license to host, store, and display your data solely for the purpose of providing the service to you. This license ends when you delete your data or close your account.
Data export: You can export your data at any time. We believe in data portability — your business information should never be held hostage.
Account deletion: You can request full account deletion by contacting us. We will delete your account and associated data within 30 days, except where we're required by law to retain certain records (such as payment transaction records).
8. What You Agree Not to Do
We keep this simple. Please don't:
- Use WorkCentral for anything illegal
- Try to access other users' accounts or data
- Reverse engineer, copy, or resell the platform
- Use automated tools to scrape or overload the service
- Upload malicious files or code
- Misrepresent your identity or create fraudulent invoices
- Use the platform in ways that could harm other users or the service

9. Service Availability
We work hard to keep WorkCentral running, but we can't guarantee 100% uptime. Specifically:
- We do not offer a formal Service Level Agreement (SLA) during beta
- We may need to take the service offline for maintenance — we'll provide notice when possible
- Third-party services we depend on (Stripe, OpenAI) have their own availability that we can't control
That said, we use the same platform you do. When it's down, we feel it too, and we fix it fast.
10. Limitation of Liability
We want to be straightforward about this:
WorkCentral is provided "as is." While we work hard to make it reliable and useful, we cannot guarantee that it will always be error-free, that your data will never be affected by a bug, or that the service will meet every specific need of your business.
To the maximum extent permitted by law, WorkCentral's total liability for any claims related to the service is limited to the amount you've paid us in the 12 months preceding the claim. For free plan users, our liability is limited to $50.
We are not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption, even if we've been advised of the possibility.
Important: WorkCentral is not accounting, legal, or tax software. The financial calculations, reports, and data in the platform are tools to help you manage your business, but they should not be treated as a substitute for professional accounting or legal advice.
11. Termination
You can leave anytime. Cancel your subscription from your account settings or contact us for full account deletion. There are no cancellation fees or penalties.
We may terminate accounts that violate these terms or our Acceptable Use Policy. We'll give you notice and an opportunity to export your data unless the violation is severe (such as fraud or illegal activity).
12. Changes to These Terms
We may update these terms as the platform evolves. When we make meaningful changes, we'll notify you via email or an in-app notice at least 14 days before the changes take effect. Your continued use of WorkCentral after changes take effect constitutes acceptance of the updated terms.
13. Governing Law
These terms are governed by the laws of the State of California, United States. Any disputes will be resolved in the state or federal courts located in Sacramento County, California.
